What You’ll Learn:

  • Explain the principles and purpose of Domain III of the IIA Standards, specifically related to governance of the internal audit function.
  • Describe the roles and responsibilities of the three lines model, including how internal audit fits into and supports this framework.
  • Analyze the relationship between the board, senior management, and the Chief Audit Executive (CAE) in the context of governance and oversight of the internal audit activity.
  • Evaluate best practices for ensuring the independence and objectivity of internal audit, particularly through governance structures and effective board/CAE interaction.
  • Assess how governance structures influence the effectiveness, risk coverage, and strategic alignment of the internal audit function within an organization.

Katleen Seeuws, CIA, CGAP, CRMA, CFE

Vice President, Standards & Guidance The Institute of Internal Auditors, Global Headquarters

Kat Seeuws is Vice President Standards & Guidance at the IIA Global headquarters. She previously was the CEO of the IIA Belgium and has held several positions in the field of internal control and internal audit, mainly in the public sector. She is a Certified Internal Auditor (CIA) and holds several other certificates (CRMA, CGAP, CFE, RFA, CICS and an Accreditation in Quality Assessment).

Kat started her career as a tax inspector in the Federal Tax Administration. After more than 10 years of experience in tax and inspection, she joined the Federal Service of Budget and Management Control as a senior advisor to the policy makers and public managers. She was responsible for supporting and facilitating the development of internal control in the federal public sector and piloting a project on developing the modern structure of audit for the Belgian federal public departments.

In 2018 she joined the European Commission as a national expert in DG Budget and supported the Public Internal Control (PIC) Network of the European Commission, a group of internal control policy makers from all European Union member states. She has also consulted for Grant Thornton where she performed different assignments in audit, quality assessment and consultancy, particularly for public sector clients.

Kat has been involved in several international collaboration and support projects in the field of public administration reform steered by the European Commission, OECD and the World Bank.


Tim Scott

Tim is the leader of the firm’s Canadian Third Party Risk Management practice and is also a member of the Global Third Party Risk Management Team.

Leveraging over 25 years of experience, he shows company leaders how to make the most of their internal audit and third party risk management efforts. Working with organizations across multiple industries, Tim supports the development of frameworks and successful implementation of third party risk management programs.


Hari Panday

Hari Panday is a senior corporate director and chief executive officer. He founded ICICI Bank in Canada and as the founding President & CEO led the full-service on-line bank and its securities and wealth management subsidiaries in Canada and the US. Mr. Panday has spent his carrier in financial services in a variety of line and staff roles, including restructuring of clients in diversified industries, supplemented by external, internal and IT audit experience, and for-profit and not-for-profit board directorships. He is a Fellow, CPA, CGA and certified director in the U.S. and Canada, with NACD, Washington, DC, and ICD Canada, respectively.

Mr. Panday serves as the Chair, Risk Comm. and Member, Audit & Finance Comm., Meridian Credit Union, Ontario’s largest credit union. His for-profit board directorships have included: Chairmanship of Tarion Warranty Corporation and Pro-Demnity Insurance Co. In addition, he has been ether a committee chair or a member of standing and special committees in Avalon Advanced Materials Inc.; Canadian Securities Exchange; ICICI Bank Canada; ICICI Wealth Management (Ont.); ICICI Securities (USA); and Raymond James Trust Quebec (AMF regulated) and Canada (OSFI regulated).

Mr. Panday is currently a faculty member at York University, Toronto, and teaches accountability and corporate governance in a graduate program. He has authored on Cross-border Corporate Governance in The Handbook of Board Governance, Third Edition, Wiley’s. In the not-for-profit segment he is currently the Honorary Colonel, 32 Service Battalion, Canadian Armed Forces and serves on the board of “A Seat at the Table” initiative at the Canadian Foundation for Physically Disabled Persons. In 2012, he received The Queen Elizabeth II Diamond Jubilee Medal.


Colin Shaw

Colin is the Global Head of Internal Audit for OMERS; one of the Maple 8 Pension Plans. He has over 20-years’ experience in forensic accounting and internal audit in leadership roles with consulting firms and large organizations, where he has led and participated on multi-disciplinary teams reporting to senior executives, Boards, regulators, and law enforcement. An advocate for the profession of internal audit with a niche specialty in setting up new and transforming existing functions, built on a passion for and deep understanding of best-in-class governance, risk management and controls processes.

Colin is a board educator and has been part of the teaching faculty of Directors College (McMaster University) for over a decade, and successfully completed the C.Dir certification in early 2024. He designed and delivered the internal audit program for the University of Toronto - School of Continuing Studies and was the IIA Canada representative on the IIA Global Curriculum Committee when the CRMA was first established. He continues to serve as a Governor of the IIA Toronto Chapter and, in early 2025, completed his term with the IIA Canada Advisory Committee.

Outside the professional commitments, Colin continues to serve on the board of BGC Canada; formerly Boys & Girls Clubs, the largest agency of its kind coast-to-coast, where he fulfils a commitment to the next generation above and beyond the power of sport. Since arriving in Canada in 1999, he has volunteered in the rugby community, set up a new rugby club dedicated to boys and girls aged 6 to 18, and coached/refereed for an organization focused on Toronto’s priority schools.

Colin holds a BA (Hons) in Accounting & Finance from the UK; plus accounting (Canada and UK), internal audit, and forensic accounting designations. He and his wife Karin have been married for over 26-years and are proud new Canadians, and parents of two boys (Ben and Dylan) and two dogs (Harley and Rue).
